1. About This Agreement
These Terms of Service ("Terms") form a legally binding agreement between you ("Customer," "you") and Michael Hall / conxion visual communications ("we," "us," "our") for your use of the AI Queue Load Manager desktop software application and any related services (collectively, the "Software").
2. The Software
AI Queue Load Manager is a desktop productivity tool that allows you to queue, manage, and route requests to third-party AI API services using your own API keys and accounts. The Software does not provide AI capabilities itself and does not include access to any AI service. All AI inference is performed by the third-party providers whose accounts you independently hold.
3. Licence Grant
Subject to your payment of the applicable subscription fee and your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:
- Install and use the Software on your personal or business computer(s)
- Use the Software for lawful personal or commercial purposes
This licence does not include the right to sublicense, resell, redistribute, or modify the Software.
4. Subscription & Payment
Access to paid features of the Software requires an active paid subscription. Subscriptions are billed monthly in advance. Payments are processed by Lemon Squeezy (lemonsqueezy.com), who acts as the Merchant of Record for all transactions. By purchasing, you also agree to Lemon Squeezy's Terms of Service.
Auto-renewal: Subscriptions automatically renew at the end of each monthly billing period. You will be charged the then-current subscription price unless you cancel before your renewal date.
Cancellation: You may cancel your subscription at any time through your Lemon Squeezy customer portal (the link is in your receipt email) or by contacting us at mike@conxion.biz. Cancellation takes effect at the end of your current paid period — you retain access until then. No refund is issued for unused days in a current period.
License keys: A license key is issued to you by Lemon Squeezy upon purchase. The key is tied to your subscription. If your subscription lapses or is cancelled, the key becomes inactive and your access reverts to the Free tier.
We reserve the right to change subscription pricing with at least 30 days' notice to existing subscribers.
5. Your Responsibilities
You are solely responsible for:
- Obtaining, maintaining, and paying for your own accounts with third-party AI providers (Anthropic, OpenAI, Google, Groq, DeepSeek, Mistral, xAI, and others)
- Complying with the terms of service of each AI provider whose APIs you access through the Software
- Ensuring that your use of the Software and the AI APIs you connect does not violate any applicable laws or third-party rights
- Keeping your account credentials and API keys secure
6. Prohibited Uses
You must not use the Software to:
- Violate any applicable local, national, or international law or regulation
- Circumvent, disable, or interfere with security features or rate limits imposed by AI providers
- Resell or sublicense access to the Software or use it to provide a competing service
- Reverse-engineer, decompile, or disassemble the Software except as permitted by law
- Transmit malware, spam, or any harmful code
7. Intellectual Property
The Software and all associated intellectual property rights are owned by us. These Terms do not transfer any ownership to you. The AI Queue Load Manager name, logo, and product identity are our property.
8. Privacy & Data
Your use of the Software is subject to our Privacy Policy, which is incorporated into these Terms by reference. Key points: your prompts and API responses are processed locally on your machine and are never transmitted to our servers. We collect only anonymous analytics data as described in the Privacy Policy.
9. Third-Party Services
The Software connects to third-party AI APIs at your direction. We are not responsible for the availability, accuracy, content, or policies of those services. Any issues with third-party AI providers must be resolved directly with those providers.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL SYSTEMS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Termination
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period and you retain access until then. We may suspend or terminate your access immediately if you materially breach these Terms.
Upon termination, all licences granted to you cease. Sections 7, 10, 11, and 13 survive termination.
13. Governing Law
These Terms are governed by the laws of North Carolina, United States of America, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the courts of Randolph County, North Carolina.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or within the Software. Continued use of the Software after the effective date of revised Terms constitutes your acceptance of the changes.
